1.Corporate form and registration
Web3 Serv S.A. is a Panamanian corporation (sociedad anónima) organized under Law 32 of 1927 of the Republic of Panama and recorded with the Mercantile Section of the Panama Public Registry through a licensed resident agent. The corporation acts through its board of directors and legal representatives in accordance with its articles of incorporation.
2.Governance and leadership
The company is governed by a board of directors chaired by Hamdan Mohammed M. Alghamdi (Chairman of the Board), with Mohammed Al Saedi Al Harbi as Co-Founder & Partner. Ownership is split 50/50 between the two founders; there are no anonymous, nominee, or bearer arrangements. The board directly oversees the compliance program described below.
3.Beneficial-ownership disclosure
The ultimate beneficial owners (UBOs) of Web3 Serv S.A. are disclosed on this page and registered, through the company's resident agent, in Panama's Unique and Private Registry of Beneficial Owners established by Law 129 of 2020. We voluntarily exceed the legal minimum by publishing our UBOs here.
4.Registered activities
The corporate objects of Web3 Serv S.A. cover professional services across crypto and digital assets, artificial-intelligence technology, advanced electronic services, strategic consulting, and comprehensive marketing. The public Web3 Serv platform is a services and trust layer only — it is not a trading venue, wallet, custodian, or money-transfer service.
5.AML/CFT and KYC framework
Web3 Serv S.A. maintains a risk-based anti-money-laundering and counter-terrorist-financing program aligned with Panama's Law 23 of 2015 (as amended) and the FATF Recommendations. Identity verification for sensitive flows is performed by a licensed provider (Sumsub), with sanctions screening against OFAC, UN, and EU lists; US persons and users from sanctioned jurisdictions are rejected and geo-gated by design.
6.Regulatory posture
Panama does not currently operate a comprehensive licensing regime for digital-asset service providers, and Web3 Serv S.A. does not claim any such license or supervision. Regulated financial services — exchange, custody, payments, on/off ramps, or stored value — are offered only through licensed entities or licensed partners in permitted markets, and never by the public platform itself.
7.Tax status
The Republic of Panama applies a territorial tax system: Panamanian income tax generally applies to Panama-source income. Web3 Serv S.A. meets its Panamanian obligations through its resident agent and local advisers; clients and partners remain solely responsible for their own tax treatment in their jurisdictions of residence.
8.Verification and contact
Institutions, banks, and partners performing due diligence can request certified documentation or direct verification through the contact page. We respond to legitimate KYC/KYB requests within a reasonable time and publish material corporate changes on this page.

Services are not available to US persons or sanctioned jurisdictions. Clients remain solely responsible for their own tax and regulatory obligations.
